1. Agreement to terms

By accessing or using OnNuma (the "Service"), provided by The Media Lounge Ltd ("we", "us", "our"), operator of OnNuma, you agree to be bound by these Terms and Conditions. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not agree, do not use the Service.

2. Description of the service

OnNuma is a software platform that helps volunteer-led organisations (including churches, charities, and community groups) to:

  • Manage contacts, members, and volunteers
  • Schedule events and volunteer rotas
  • Send communications and newsletters
  • Collect and manage form submissions
  • Operate subscription plans (e.g. Community, Enterprise) with payment processed by third-party payment providers

The Service is provided subject to these terms and to any plan-specific or product-specific terms that apply to your subscription.

3. Account and access

3.1 Registration and accuracy

You must provide accurate and complete information when creating an account or registering an organisation. You are responsible for keeping your login details secure and for all activity under your account.

3.2 Organisation administrators

If you are an administrator for an organisation, you are responsible for ensuring that your organisation’s use of the Service and any data it stores complies with applicable law and with your organisation’s own policies (including privacy and safeguarding).

3.3 Minimum age

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or accept these terms. Use of the Service by minors may be permitted only where an organisation has appropriate consent and safeguards in place.

4. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or in breach of any applicable law
  • Upload, store, or transmit content that is defamatory, offensive, infringing, or that violates anyone’s rights
  • Attempt to gain unauthorised access to the Service, other accounts, or any systems or networks
  • Use the Service to send spam, malware, or unsolicited bulk communications
  • Resell or sublicense the Service (except as explicitly permitted by your plan)
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service (except to the extent permitted by law)
  • Use the Service in a way that could harm, overload, or impair the Service or other users

We may suspend or terminate access if we reasonably believe you have breached these terms or pose a risk to the Service or others.

5. Your data and content

5.1 Ownership

You retain ownership of any data, content, and materials you upload or create in the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 Licence to operate the service

You grant us a limited licence to use, store, process, and transmit Your Data only as necessary to provide, support, and improve the Service and as described in our Privacy Policy.

5.3 Your responsibilities

You are responsible for ensuring that you have the right to upload and process Your Data (including any personal data of your members, volunteers, or contacts) and that you do so in line with data protection and other applicable laws. You must have an appropriate legal basis and, where required, consent for processing personal data through the Service.

6. Subscriptions and payment

6.1 Plans and pricing

Subscription plans (e.g. Free, Community, Enterprise) and pricing are as set out on our website or in your plan. We may change pricing or plan features on reasonable notice; continued use after changes constitutes acceptance unless you cancel in accordance with your plan.

6.2 Payment

Fees are collected by our payment provider (e.g. Paddle). You agree to their terms and to provide accurate payment details. You are responsible for any taxes that apply to your subscription.

6.3 Renewal and cancellation

Subscriptions typically renew automatically. You may cancel in accordance with your plan and our Refund Policy. Cancellation may take effect at the end of the current billing period.

7. Intellectual property

The Service (including software, design, branding, and documentation) is owned by us or our licensors. You may not copy, modify, or create derivative works except as necessary to use the Service in accordance with these terms.

8. Disclaimers

The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill
  • Our total liability for any claims arising from or related to the Service is limited to the fees you paid to us in the 12 months before the claim (or, if no fees, to £100)

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.

10. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your breach of these terms.

11. Termination

We may suspend or terminate your access to the Service if you breach these terms or for other serious reasons (e.g. non-payment, abuse). You may stop using the Service at any time. On termination, your right to access the Service ends. We may retain and delete Your Data in accordance with our data retention and Privacy Policy.

12. Changes to these terms

We may update these Terms and Conditions from time to time. We will post the updated version and update the "Last updated" date. Material changes may be notified by email or through the Service. Continued use after the effective date of changes constitutes acceptance. If you do not agree, you should stop using the Service and cancel your subscription.

13. General

  • Governing law: These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales (or Scotland/Northern Ireland if you are resident there and we agree).
  • Entire agreement: These terms, together with our Privacy Policy and Refund Policy (and any plan-specific terms), constitute the entire agreement between you and us regarding the Service.
  • Severability: If any part of these terms is held invalid, the rest remains in effect.
  • No waiver: Our failure to enforce any right does not waive that right.
